Customer shall not perform, nor allow, authorize, or assist others to perform copying, reverse engineering,
decompilation, disassembly, modifying, or the like upon any portion of the Licensed Technology to attempt to
learn information about its internal architecture, design, operation, manufacture, features, or functionality.
3. TERM; TERMINATION. Customer may evaluate the Licensed Technology for a nonrenewable, non-
extendable period of 90 days (
“Evaluation Period”), beginning with the installation date of the Licensed
Technology by Customer. Customer
’s rights under the Evaluation License Agreement will terminate
immediately without notice from Cisco if Customer fails to comply with any provision of the Evaluation License
Agreement. Upon the expiration of the Evaluation Period or upon termination of this Evaluation License
Agreement, Customer shall delete or destroy all copies of the Licensed Technology and any related
confidential information.
4. OWNERSHIP. The Licensed Technology and any confidential information provided by Cisco, and all involved
or related intellectual property rights therein or thereto, are and shall remain the property of Cisco or its
licensors. Customer is not obligated to provide Cisco with comments or suggestions regarding Licensed
Technology or any related confidential information provided by Cisco. Should Customer, however, provide
Cisco with comments or suggestions for the modification, correction, improvement, or enhancement of (a) the
Licensed Technology or any related confidential information or (b) Cisco products which may embody the
Licensed Technology or any related confidential information, then Customer grants to Cisco a non-exclusive,
irrevocable, worldwide, royalty-free license, including the right to sublicense Cisco licensees and customers,
under Customer
’s intellectual property rights, the rights to use and disclose such comments and suggestions
in any manner Cisco chooses and to display, perform, copy, have copied, make, have made, use, sell, offer to
sell, and otherwise dispose of Cisco
’s and its sublicensees’ products embodying such comments or
suggestions in any manner and via any media Cisco chooses, but without reference to the source of such
comments and/or suggestions.
5. DISCLAIMER. The Licensed Technology and other Confidential Information is provided and licensed
“AS IS”
and without warranty. CISCO DISCLAIMS ANY AND ALL WARRANTIES AND GUARANTEES, EXPRESS,
IMPLIED, OR OTHERWISE, ARISING WITH RESPECT TO THE LICENSED TECHNOLOGY OR ANY
CONFIDENTIAL INFORMATION, INCLUDING BUT NOT LIMITED TO THE WARRANTY OF
MERCHANTABILITY, THE WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, AND ANY
WARRANTY OF NON-INFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD
PARTY. CISCO NEITHER ASSUMES NOR AUTHORIZES ANY PERSON TO ASSUME FOR CISCO ANY
OTHER LIABILITY. CISCO WILL NOT BE LIABLE TO LICENSEE FOR ANY DIRECT OR INDIRECT
DAMAGES INCURRED IN USING ANY OF THE LICENSED TECHNOLOGY OR OTHER CONFIDENTIAL
INFORMATION AND IN NO EVENT WILL CISCO BE LIABLE FOR LOSS OF PROFITS, LOSS OF USE, OR
LOSS OF DATA OR BUSINESS INTERRUPTION, NOR FOR PUNITIVE, INCIDENTAL, CONSEQUENTIAL,
OR SPECIAL DAMAGES OF ANY KIND, EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH
DAMAGES.
6. CONTROLLING LAW; JURISDICTION NO IMPLIED LICENSE. Cisco and Customer agree to be bound by
the section
“Controlling Law, Jurisdiction” of the End User License Agreement.
