Export Restrictions: You agree that you will not export or re-export
the TicTalk phone, its Software or Documentation, or any products
utilizing such Software or Documentation, in violation of any applicable
laws or regulations of the United States and/or any other jurisdiction in
which you reside.
License Termination: Your license as provided above is effective until
terminated. You may terminate it at any time by ceasing to use and
destroying your TicTalk phone, its Software and Documentation. Your
license will also terminate immediately if you fail to comply with any
term or condition of this Agreement. Termination of your license shall
not terminate any of your obligations under this Agreement, which shall
survive such termination to the extent necessary to effectuate their
intent or purpose.
Governing Law: This Agreement shall be governed by the laws of the
State of Texas, United States of America, excluding its conflicts of laws
principles. The United Nations Convention on Contracts for the
International Sale of Goods (1980) is hereby excluded in its entirety
from application to this Agreement.
Severability: In the event any provision of this Agreement is found to
be invalid, illegal or unenforceable, the validity, legality and
enforceability of any of the remaining provisions shall not in any way be
affected or impaired.
Entire Agreement: This Agreement sets forth the entire agreement
between you and Enfora, and supersedes all prior agreements,
whether written or oral, with respect to the TicTalk phone, the Software,
the Documentation and the Web Configuration Interface. This
Agreement may be amended only in a writing signed by both you and
Enfora.
